     For tax-exempt and for-profit organizations alike, we take the time to understand all relevant information for a project including items such as other sources of financing, legal restrictions, project objectives and highlight potential issues, so they can be resolved immediately and reduce the likelihood for future complications. No two projects are the same, and it is in part our attention to detail that results in a significant portion of our business coming from previous clients and referrals.

Our tax credit services include:

  • Managing the entire tax credit process through to payment by various tax credit investors.
  • Evaluating the circumstances of the project and determining the optimal legal structure.  We will advocate on behalf of our client with all stakeholders to ensure that the transaction is structured in the most favorable and efficient way.
  • Working to leverage all sources of funds available to help get your project to completion. Especially challenging for New Markets Tax Credits due to their competitiveness, we utilize our intimate knowledge and experience with industry players to maximize the likelihood of receiving allocation for your project.
  • Identifying and recruiting potential tax credit investors for your project. Unlike other tax credit syndicators, we are not committed to working with a particular investor and do not limit our services to simply syndication. We are committed to not only finding an investor that will provide the most equity to your project, but also one that will provide the highest overall benefit. We are proficient in our ability to solicit multiple offers from numerous investors for our clients.
  • Negotiating the best terms and conditions with a chosen tax credit investor to meet your project needs.
  • Identifying other public-sector tax related benefits through our experience working in nearly all 50 states, and presenting those opportunities to you. Should you elect to pursue any of these opportunities, we shall assist in securing these incentives for your project.
  • Assisting in drafting the necessary tax credit documents, with an eye towards preserving our client’s preferred structure and project objectives, while also maximizing the available incentives. Our work is not done until we have our clients’ review and approval of all pertinent items.
  • Making modifications to any existing project related contracts to ensure that they are structured in a favorable manner.
  • Creating, collecting, and packaging information needed in advance of a tax credit closing in a timely and professional manner so as to secure a tax credit investor’s approval to complete the transaction.

  • Managing the closing with the tax credit investor.
  • During and after closing, attending consultant and/or construction meetings as helpful to ensure that your project is proceeding in a way that best utilizes the tax credits.
  • Assisting with selection of and work with an accounting firm to complete the cost certification required by the tax credit investor.
 

In addition to the services provided above for all tax credit projects, for Federal and State historic tax credit projects specifically, we typically provide additional services.

HTC Specific Services 

  • Work with the owner to meet the substantial rehabilitation test required to use historic tax credits.
  • Assist in obtaining approvals of your Part I, II, and III applications with the applicable State Historic Preservation Office and the National Park Service. This application can require significant work and negotiation with applicable governmental entities.
  • Help to ensure that you have the highest possible Qualified Rehabilitation Expense (“QRE”) so that you will receive the most possible tax credits for your project.
  • Work with your general contractor to ensure the highest possible QRE. The way in which a contractor proceeds with their work can have a significant impact on the QRE.
